Coromandel Fertilisers Ltd has informed BSE that pursuant to the order of the Hon'ble High Court of Judicature of Andhra Pradesh at Hyderabad, a meeting of the equity shareholders of the Company will be held on February 07, 2007, for the purpose of considering, and if thought fit, approving, with or without modification(s), the arrangement embodied in the Scheme of Amalgamation proposed to be made between the Company and Ficom Organics Ltd and Rasilah Investments Ltd. Coromandel Fertilisers Ltd has informed BSE that the equity shareholders of the Company at its Court Convened Meeting held on February 07, 2007, have approved the Scheme of Amalgamation of Ficom Organics Ltd and Rasilah Investments Ltd with the Company, by requisite majority. (As Per BSE Bulletin Dated on 12/02/2007) Coromandel Fertilisers Ltd. has informed the Exchange that: "The High Court of Andhra Pradesh and the High Court of Bombay have approved the Scheme of Amalgamation of M/s Ficom Organics Limited (Ficom) and M/s Rasilah Investments Limited with M/s Coromandel Fertilisers Limited (CFL) on April 10, 2007 and April 27, 2007 respectively. As per the Scheme, shareholders of Ficom will be entitled for 3 (three) Equity Shares of Coromandel Fertilisers Limited for every 11 (eleven) Equity Shares held by them of Ficom. For ascertaining the eligibility of the shareholders of Ficom who are to receive the equity shares of CFL under the Scheme, June 8, 2007 has been fixed as the Record Date".
