Cyber Media India Ltd has informed BSE that the Board of Directors of the Company at its meeting held on January 27, 2009, inter alia, have, in principle approved the merger / amalgamation of its subsidiary namely CyberMedia (India) Online Ltd with the parent company Cybermate Infotek Ltd and has constituted a sub-committee to examine the financial and legal validity of the purpose and submit a report at a later dated along with draft scheme, if considered viable. Note : The name of the parent Company should be read as 'Cyber Media (India) Ltd'. Cyber Media India Ltd has informed BSE that the Board of Directors of the Company at its meeting held on June 23, 2009, inter alia, has considered the amalgamation scheme of CyberMedia India Online Ltd with the Company. The Board suggested that the Company put up a consolidated scheme of amalgamation with the Company of its following subsidiaries as well: - Cyber Media Digital Ltd - Cyber Media Events Ltd - Cyber Holdings Ltd. CyberMedia India Online Ltd, Cyber Media Digital Ltd, Cyber Media Events Ltd and Cyber Holdings Ltd with the Company. (As Per BSE Announcement Dated on 22/07/2009) Cyber Media India Ltd has informed BSE that with respect to amalgamation of Cybermedia India Online Limited (Transferor Company No.1), Cyber Media Digital Limited (Transferor Company No.2), Cyber Media Events Limited (Transferor Company No.3) and Cyber Holdings Limited (Transferor Company No.4) with Cyber Media (India) Limited (Transferee Company), the Hon'ble High Court of Delhi at New Delhi, vide its order dated November 16, 2010 has now listed the matter on February 18, 2011 pursuant to approval of scheme of amalgamation by shareholders and unsecured creditors of Transferee Company in their respective meetings convened on October 15, 2010.
