California Software Company Ltd has informed BSE that the Board of Directors of the Company at its meeting held on January 23, 2007, inter alia, has transacted the following: The Board approved the proposal and the Draft Scheme of Amalgamation of the Company's wholly owned subsidiary WebSpectrum Software Ltd with itself subject to such approvals as may be required from any Regulatory agencies such as Stock Exchange, SEBI, Ministry of Company Affairs and the Hon'ble High Court of Madras apart from shareholders and creditors. California Software Company Ltd has informed BSE that the Hon'ble High Court, Madras has sanctioned the scheme of Amalgamation between the Company with its Wholly Owned Subsidiary M/s.
