Dumehar Bani, Kandaghat -173 215, Distt. Solan, Himachal Pradesh at 10AM and 1PM respectively for approving the Scheme of Arrangement between Jaiprakash Power Ventures Limited (JPVL) (Transferor Company) and Himachal Baspa Power Company Limited (HBPCL) (Transferee Company) with or without modification(s). Jaiprakash Power Ventures Ltd has informed BSE that the Hon'ble High Court of Himachal Pradesh at Shimla has sanctioned the Scheme of Arrangement, under Section 391/394 of the Companies Act, 1956, between Jaiprakash Power Ventures Limited, Himachal Baspa Power Company Limited, their Shareholders and Creditors, in term of its Order dated June 25, 2015. (As per BSE Announcement dated on 26.06.2015) Jaiprakash Power Ventures Ltd has informed BSE that consequent upon filing of the Scheme of Arrangement with the Registrar of Companies, Chandigarh on September 01, 2015, the said Scheme has since become effective. Accordingly, the businesses in relation to Company's Baspa-II Hydro Power Plant and Karcham Wangtoo Hydro Power Plant alongwith their assets, liabilities, rights, interests, obligations etc. stand transferred and vested in Himachal Baspa Power Company Limited with effect from September 01, 2015.
