Jaiprakash Hydro Power Ltd has informed BSE that accepting the recommendation of its Committee of Directors, subject to the requisite approvals and sanction of the Scheme by Hon'ble High Court, the Board of Directors of the Company at its meeting held on July 03, 2009, inter alia, have approved the amalgamation of Jaiprakash Power Ventures Ltd (JPVL) (the Transferor Company) with Jaiprakash Hydro Power Ltd (JHPL) (the Transferee Company), with effect from April 01, 2009, being the Appointed Date. In terms of the proposed Scheme of Amalgamation, the Shareholders of the Transferor Company, as on the Record Date to be fixed by the Board of Directors of the Transferee Company, shall be allotted shares in the Transferee Company in the following Exchange Ratio:- Three Equity Shares of Rs 10/- each, credited as fully paid in Jaiprakash Hydro Power Ltd, the Transferee Company, for every One Equity Share of Rs 10/- fully paid up held in Jaiprakash Power Ventures Ltd, the Transferor Company. Jaiprakash Hydro Power Ltd has informed BSE that the Shareholders and the Creditors of Jaiprakash Hydra-Power Ltd. (JHPL) and Jaiprakash Power Ventures Ltd. (JPVL) have in its their respective meetings convened on October 10, 2009, in terms of the Order dated August 24, 2009 passed by the Hon'ble High Court of Himachal Pradesh at Shimla, have unanimously approved the proposed Scheme of Amalgamation of JPVL with JHPL, without any modification. The Chairmen of the said meetings of Shareholders and the Creditors, as appointed by the Hon'ble High Court of Himachal Pradesh at Shimla, on October 12, 2009, have filed their respective reports directly with Hon'ble High Court of Himachal Pradesh at Shimla. Further the Company has informed that, necessary steps are being taken to obtain the copy of the formal order and filing of the same with the Registrar of Companies. Necessary formalities of change of name of the Company to Jaiprakash Power Ventures Ltd., in terms of the Scheme, are being carried out with the Registrar of Companies, Punjab, Himachal Pradesh & Chandigarh.
