JK Cement Ltd has informed BSE that the Board of Directors of the Company at its meeting held on May 20, 2008, inter alia, has transacted the following:
Approved the merger of Jaykaycem Ltd. (a wholly owned subsidiary of the Company) with the Company subject to the approval of the share holders in General Meeting, Hon'ble High court & other approving authorities. The said Green Field Grey Cement plant with annual capacity of 3 millions tones (with captive power plant of 50 MW) under construction in the subsidiary Company at Mudhol in the sate of Karnataka.
Jk Cement Limited had informed the Exchange that the Board of Directors of the Company in their meeting held on May 20, 2008 have approved the proposal to amalgamate the entire business and undertaking of M/s Jaykaycem Limited (herein referred as Transferor Company) with the Company. The Transferor Company M/s Jaykaycem Limited is a wholly owned subsidiary of the Company. The Company has now informed the Exchange that 'Petition for Scheme of amalgamation /merger will be filed with the Hon'ble High Court of Judicature at Allahabad as required under Section 391 & 394 of the Companies Act, 1956'.

Jk Cement Limited has informed the Exchange that in the meeting of the Equity Shareholders of the Company held on September 06, 2008 pursuant to the order of Hon'ble High Court of Judicature at Allahabad in Company Application No. 15 of 2008 the proposed scheme of amalgamation was approved by the shareholders present, unanimously, without any modification.

JK Cement Ltd has informed BSE that Hon'ble High Court of Judicature at Allahabad on August 04, 2009 has formally sanctioned the scheme of amalgamation of Jaykaycem Ltd. (Wholly owned subsidiary) with the Company. As per the scheme, this becomes effective from April 01, 2008. Jaykaycem Ltd. is implementing 3 Million Tonnes per Annum Geen Field Grey Cement Plant at Mudhol, Dist. Bagalkot, Karnataka state which is at final stage of implementation. The installed capacity of grey cement of JK Cement Ltd. with the merger will increase to 7.5 million tonnes per annum.
