The meeting commenced at 12.30PM and concluded at 3.30PM approved the draft Scheme of Amalgamation ('the Scheme') of Jaykaycem (Central) Ltd (wholly owned subsidiary) with JK Cement Ltd with effect from the Appointed Date of 1st April, 2021 (As Per BSE Announcement Dated 14.08.2021) Further to our letter No.JKCL/CS/SE BM inti amalgamation/2l dated 14.8.2021 intimating that the Board of Directors in its meeting held on 14.8.2021 considered and approved the Scheme of Amalgamation of Jaykaycem (Central) Ltd. (Wholly owned Subsidiary of J.K. Cement Ltd.) with J.K. Cement Ltd. with effect from appointed date of 1.4.2021. Apropos to our aforesaid letter, enclosed please find the said Scheme of Amalgamation of Jaykaycem (Central) Ltd. (Wholly owned Subsidiary) with J.K. Cement Ltd. This may kindly be taken on record. (As Per BSE Announcement dated on 03.12.2021) The Hon'ble National Company Law Tribunal, Allahabad Bench, Prayagraj, ('NCLT') by an order passed in Company Petition No. CP(CAA) 4/ALD/2022 on 2nd March, 2023 sanctioned the Scheme of Amalgamation of Jaykaycem (Central) Ltd. (Wholly owned subsidiary) with the Company with effect from 1st April, 2021 (Appointed Date). The electronic copy of the order has since been received by the Company and is attached herewith. However, the Scheme is not yet effective. In terms of the Scheme and the said order of the Hon'ble NCLT sanctioning the same, the Scheme shall become effective on the Effective Date, being the date or last of the dates on which the certified copies of the said order sanctioning the Scheme are received by the companies and filed with the Registrar of Companies and all conditions for bringing the Scheme into effect are fulfilled. The same are awaited. The Company will intimate to the Stock Exchange, the Effective Date of the Scheme upon the same coming into effect. (the Company) This is to update that certified copy of the order dated 2.3.23 sanctioning the scheme from the appointed date 1.4.2021 have been received on 20.7.2023 and filed by the Jaykaycem (Central) Ltd and the Company with the ROC today i.e. 1.8.2023 and the scheme have been effective in terms thereof. Accordingly the scheme though operative from appointed date has become effective today i.e. 1.8.2023, the Effective date. (As Per BSE Announcement Dated on 01.08.2023)
