The Board has approved, subject to approval of shareholders, creditors and National Company Law Tribunal (NCLT) and such other approvals as may be required, a Scheme of Amalgamation amongst Timken India Limited and Timken GGB Technology Private Limited (a wholly owned subsidiary) and their respective shareholders and creditors (Scheme) for amalgamation of Timken GGB Technology Private Limited into Timken India Limited on the terms and conditions contemplated in the Scheme. In furtherance to our earlier communication dated 18 May, 2026 regarding Amalgamation of Timken GGB Technology Private Limited (a wholly owned subsidiary) with the Company, we write to inform you that National Company Law Tribunal (NCLT) has accepted first motion application for Scheme of Amalgamation amongst Timken India Limited and Timken GGB Technology Private Limited and the Company is now in the process of submitting second motion application to NCLT.
