Zodiac Ventures Ltd has informed BSE that the Board of Directors of the Company at its meeting held on March 26, 2015, has, inter alia, considered and approved the Scheme of Amalgamation of Zodiac Ventures Limited ('the Company' or 'ZVL') with Zodiac Developers Private Limited ('ZDPL') and their respective shareholders and creditors under Sections 391 to 394 of the Companies Act, 1956 read with Section 52 of the Companies Act, 2013 and Sections 100 to 103 and other applicable provisions of the Companies Act, 1956 as per terms and conditions mentioned in the Scheme of Amalgamation placed before the Board. The salient features of the proposed Scheme are as under: 1. ZVL would be merged with ZDPL. 2. The Appointed Date of the Scheme will be April 01, 2014. 3. All assets and liabilities of ZVL to be transferred to and recorded by ZDPL at book values. 4. The Scheme will be subject to the approval from Hon'ble High Court of Bombay and shareholders and creditors of ZVL and ZDPL.
