Pursuant to Reg 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (Listing Regulations), please be informed that the Board of Directors of the Company at its meeting held today i.e., August 11, 2020 has, inter-alia: 1.Considered and approved the Statement of Unaudited Standalone and Consolidated Financial Results for the quarter ended June 30, 2020, in accordance with the provisions of Regulation 33 of the Listing Regulations; 2.Approved the appointment of Mr. Milind Wadekar, Vice President - Finance & Tax as the interim Chief Financial Officer and Key Managerial Personnel of the Company with effect from September 15, 2020. 3.Approved the amalgamation of the wholly-owned subsidiaries of the Company viz., Belaire Hotels Private Limited and Seapearl Hotels Private Limited with the Company, subject to approval of the same by the wholly-owned subsidiaries. The meeting of the Board of Directors of the Company commenced at 1.00 pm and concluded at 3.10 p.m. As intimated vide our letter dated August 11, 2020, the Board of Directors of the Company had at its meeting held on August 11, 2020 approved the Scheme of Arrangement for amalgamation of the wholly-owned subsidiaries of the Company viz., Belaire Hotels Private Limited and Seapearl Hotels Private Limited with the Company. Pursuant to Regulation 37(1) of the Listing Regulations read with SEBI Circular CIR/CFD/CMD/4/2015 dated September 9, 2015, we are submitting herewith: - a copy of the said Scheme of Arrangement - Annexure A - details of the Scheme of Amalgamation - Annexure B - Certificate from the Statutory Auditors certifying that the Accounting Treatment stated in the Scheme conforms to the applicable Accounting Standards and applicable legal requirements - Annexure C We request you take the above information on record. Chalet Hotels Limited and their respective Shareholders and Creditors ('Scheme'), please find attached herewith: - copy of the Notice along with the Scheme issued to the Secured Creditors of the Company; - copy of the Notice along with the Scheme issued to the Unsecured Creditors of the Company. Financial Express on February 26, 2021; 2. Free Press Journal on February 26, 2021; and 3. Navshakti on February 26, 2021. We request you to kindly take the same on record.
