Orchid Chemicals & Pharmaceuticals Ltd has informed BSE that the Board of Directors of the Company at its meeting held on January 07, 2012, inter alia, has approved a Scheme of Amalgamation ('the Scheme') for merger of Company's wholly owned subsidiary viz. Orchid Research Laboratories Limited (the transferor Company') with Orchid under the provisions of Sections 391 to 394 of the Companies Act, 1956. The Appointed date of the Amalgamation is April 01, 2010 and the Scheme is subject to the approval of The Hon'ble High Court of Madras. The transferor Company being a wholly owned subsidiary no fresh shares will be issued by the Company upon the Scheme coming into effect. Orchid Chemicals & Pharmaceuticals Limited has informed the Exchange that the Hon'ble High Court of Madras has sanctioned the Scheme of Amalgamation for Merger of Orchid Research Laboratories Limited with Orchid Chemicals & Pharmaceuticals Limited.
