Pursuant to the Order of Hon''ble National Company Law Tribunal (''NCLT''), Mumbai dated 23rd October 2024, in the matter of Scheme of Amalgamation of Maxbhumi Developers Limited, Sleek International Private Limited, Company''s wholly-owned subsidiaries with the Company (''Scheme'') read with Rule 16 of the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016, the Company was required to make public advertisement in relation to the notice of the hearing of the Petition scheduled to be held before Hon''ble NCLT on Wednesday, 11th December 2024 for the sanction of the said Scheme. Accordingly, as per Regulation 30 of the Listing Regulations, please find enclosed copies of the said advertisment published in the newspaper(s) today (As Per BSE Announcement dated on 21.11.2024) We wish to inform you that the Hon''ble National Company Tribunal ('NCLT'), Mumbai Bench, vide its Order dated 24th January 2025 ('Order'), has sanctioned the Scheme of Amalgamation of Maxbhumi Developers Limited and Sleek International Private Limited (collectively referred as 'Transferor Companies'), wholly owned subsidiaries of Asian Paints Limited ('Transferee Company or the Company') with the Company ('Scheme of Amalgamation'). A copy of the Order, as available on the website of the NCLT, is enclosed herewith along with the certified true copy of the Scheme of Amalgamation. The Appointed Date of the Scheme of Amalgamation is 1st April 2024, and it would be effective from the date of filing of the certified copy of the Order by the Transferor Companies and Transferee Company with the Registrar of Companies, Maharashtra at Mumbai. APL/SEC/51/2024-25/3 dated 24th January 2025, wherein it was informed that the Hon''ble National Company Law Tribunal, Mumbai Bench ('NCLT'), had sanctioned the Scheme of Amalgamation of Maxbhumi Developers Limited and Sleek International Private Limited (collectively referred to as 'Transferor Companies'), wholly owned subsidiaries of Asian Paints Limited ('Transferee Company' or 'the Company') with the Company ('Scheme of Amalgamation'). It is further informed that the Transferor Companies and Transferee Company have today i.e., 1st March 2025, filed the certified copy of the Order sanctioning the Scheme of Amalgamation, with the Registrar of Companies, Maharashtra, at Mumbai.
