(512599; 612599) RECORD DATE 06.04.2018 PURPOSE As per Scheme of Arrangement sanctioned by the Hon'ble National Company Law Tribunal, Ahmedabad Bench, between, Adani Enterprises Ltd and Adani Green Energy Limited (Resulting Company) And Their Respective Shareholders And Creditors: - Upon the coming into effect of the aforesaid Scheme and in consideration of the demerger of the Renewable Power Undertaking (Demerged Undertaking) into Adani Green Energy Limited pursuant to this Scheme : Adani Green Energy Limited shall issue and allot equity shares at par on a proportionate basis to the shareholders of Adani Enterprises Ltd in the following proportion : '761 (SEVEN HUNDRED AND SIXTY ONE) fully paid up equity shares of Adani Green Energy Limited shall be issued and allotted for every 1000 (ONE THOUSAND) fully paid up equity shares held in Adani Enterprises Ltd.'
