Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (Listing Regulations), we wish to inform you that the Board of Directors of the Company, at its meeting held today, has approved the Scheme of Amalgamation ('Scheme') under Sections 230 to 232 of the Companies Act, 2013 for the merger of Zero Waste Agro-Organics Limited, wholly owned subsidiary of the Company, with the Company, subject to such approvals as may be required. Rallis India Limited has informed the Exchange that Pursuant to Regulation 37 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with Paragraph 7 of the SEBI Circular No. CFD/DIL3/CIR/2017/21 dated 10th March, 2017, enclosed is the draft Scheme of Amalgamation ( Scheme ) under Sections 230 to 232 of the Companies Act, 2013, for the merger of Zero Waste Agro-Organics Limited, wholly owned subsidiary of the Company, with the Company, subject to the necessary statutory and regulatory approvals, including approval of the National Company Law Tribunal (As per BSE Announcement date on 01/08/2017) Sanction of Scheme of Arrangement of Zero Waste Agro-Organics Limited with Rallis India Limited and their respective shareholders and creditors by the National Company Law Tribunal, Mumbai Bench. (As Per BSE Announcement dated on 24/01/2020) With reference to the captioned subject, we wish to inform you that the Company has received the Certified Copy of the Order dated June 22, 2020 issued by the National Company Law Tribunal ('NCLT'), Mumbai Bench and the same has been filed by the Company with the Registrar of Companies, Maharashtra, Mumbai, electronically in e-Form INC-28 today i.e. July 9, 2020. Zero Waste Agro Organics Limited has also filed e-Form INC-28 with the Registrar of Companies, Maharashtra, Mumbai on July 8, 2020. Thus, the Scheme has become effective on July 9, 2020, being last of the dates on which the Certified Copy of the Order passed by the NCLT has been filed with the Registrar of Companies, Maharashtra, Mumbai and accordingly, Zero Waste Agro Organics Limited has merged with the Company effective the said date.
