Siemens Ltd has informed BSE that the Board of Directors of the Company at its meeting held on January 31, 2008, inter alia, has revised the 'Appointed Date' from October 01, 2007 to April 01, 2008 for the merger of Siemens Industrial Turbomachinery Services Pvt Ltd., Bangalore (SITS) with the Company., subject to receipt of all statutory / regulatory approvals. Siemens Ltd has informed BSE that the 'Scheme of Amalgamation' of the Company's Wholly-owned subsidiary "Siemens Industrial Turbomachinery Services Pvt. Ltd" (SITS), Bangalore with the Company (Siemens Ltd.) has been sanctioned by the Hon'ble High Court of Karnataka vide its order dated September 25, 2008. As per the Scheme of Amalgamation, the "Appointed Date" is April 01, 2008. Further, a certified copy of the said Order was filed with the Registrar of Companies on October 18, 2008 ("Effective Date"). Thus, with effect from April 01, 2008, SITS stands merged with the Company and the legal entity of SITS stands dissolved without winding up.
