Sampre Nutritions Ltd has informed BSE that the Board of Directors of the Company at its meeting held on April 22, 2016, has taken following decisions: 1. Board has in-principally decided to amalgamate M/s. Royes Industries Limited with the Company under Section 391 to 394 of the Companies Act, 1956 and requested the management of the Company to submit detailed scheme of amalgamation for the approval of the Board. 2. Board has approved the backward integration proposal of the Company to manufacture blow mould jars for packing of candies manufactured by the Company and authorized Managing Director of the Company to do all such acts as may be required in this regard. 3. Board has in-principally approved the proposal to utilize the manufacturing facilities of M/s. Naturalle Health Products Private Limited which is having all the facilities for manufacture of confectionery to cater the production requirements of the Company and requested the management to negotiate and submit the detailed proposal on modalities of working for approval of Board.
