The company has iformed that with reference to the earlier announcement regarding Scheme of Amalgamation with the Company of the three unlisted wholly-owned subsidiaries of the Company viz., Airline Financial Support Services India Ltd, Mumbai, Aviation Software Development Consultancy India Ltd, Chennai and TCS Business Transformation Solutions Ltd, Bangalore, the company has further informed that upon approval of the Scheme by the Honourable High Courts of Judicature at Bombay, Madras & Karnataka, the Scheme will be effective retrospectively from April 01, 2005. Tata Consultancy Services Limited had informed the Exchange that at the board meeting of the company held on July 15,2005,the directors had approved, inter alia,a Scheme of Amalgamation with TCS of the following three unlisted wholly-owned subsidiaries of TCS: a)Airline Financial Support Services(India)Limited, Mumbai; b)Aviation Software development Consultancy India Limited, Chennai and c)TCS Business Transformation Solutions Limited, Bangalore.The company has now informed that upon approval of the Scheme by the Honourable High Courts of Judicature at Bombay,Madras and Karnataka,the Scheme will be effective retrospectively from April 01,2005. (As per NSE Bulletin dated on 17/01/2006) The company has informed that the relevant High Courts have approved the Scheme of Amalgamation of Airline Financial Services (India) Ltd (AFSL), and TCS Business Transformation Solutions Ltd (TCS BTS) and Aviation Software Development Consultancy India Ltd (ASDC) with the Company and all formalities connected therewith have been completed on February 01, 2006. Further the Company has informed that the Effective Date of the Scheme is February 01, 2006. The Scheme will be operative retrospectively from April 01, 2005, which is the Appointed Date under the Scheme. Since AFSL, TCS BTS and ASDC are wholly-owned subsidiaries of the Company, no shares are required to be issued by the Company upon amalgamation. (As per BSE Bulletin dated on 01/02/2006)
