Hcl Technologies Ltd has submitted to the Exchange a copy of the notice issued in the newspapers dated September 13, 2005, for hearing of the petition on approval of the Scheme of Amalgamation of HCL Technologies (Mumbai) Limited, HCL Technologies BPO Services Limited, HCL Enterprise Solutions (India) Limited, DSL Software Limited, Shipara Technologies Limited and Aquila Technologies Limited with HCL Technologies Limited. Hcl Technologies Ltd has informed the Exchange that the Scheme of Amalgamation of HCL Technologies (Mumbai) Ltd., HCL Technologies BPO Services Ltd., HCL Enterprise Solutions (India) Ltd, DSL Software Ltd., Shipara Technologies Ltd and Aquila Technologies Ltd., wholly - owned subsidiaries of HCL Technologies Ltd., with the Company has been approved by the Hon'ble High Courts of Delhi and Karnataka vide their order dated October 28, 2005 and December 16, 2005, respectively. Further the Order of the Karnataka High Court, delivered to the Company on December 23, 2005, has been filed with the Registrar of Companies on January 18, 2006 and the Order of the Delhi High Court, delivered to the Company on March 07, 2006, has been filed with the Registrar of Companies on March 08, 2006. Accordingly, with the completion of filings of the aforesaid orders with the Registrar of Companies, the Scheme has become effective retrospectively from the Appointed Date, i.e April 01, 2005. ("erstwhile Transferor Companies") with HCL Technologies Ltd. ("Transferee Company" or "Company") approved by the Hon'ble High Courts of Delhi and Karnataka, the Authorised Share Capital of the erstwhile Transferor Companies has been transferred to and Combined with the Authorised Share Capital of the Company. Accordingly, the post-amalgamation Authorised Share Capital of the Company stands increased to Rs.1,25,45,00,000 (Rupees One Hundred and Twenty Five Crores Forty Five Lacs only) divided into 62,72,50,000 Equity Shares of Rs.2 each. The Ministry of Company Affairs, April 10, 2006, has also taken on record the new Authorised Share Capital of the Company.
