Appropriate Scheme for amalgamation will be framed and submitted to shareholders for their approval, subject to compliance of the requisite statutory requirements under the Companies Act, 1956 and Rules thereunder. The shareholders have approved the Scheme of Amalgamation of DCSL with The Associated Cement Companies Limited with the requisite majority. This meeting was convened pursuant to the Orders of the Bombay High Court. The Company is filing a Petition with the Bombay High Court seeking their approval for the above Scheme of Amalgamation.
