The Board meeting outcome is enclosed herewith We refer to our communication dated February 2, 2022, inter alia intimating about the approval granted by the Board of Directors of the Company to the Scheme of Amalgamation of IIFL Wealth Altiore Limited ('Transferor Company') with and into the Company and their respective shareholders, subject to the necessary approvals by the Jurisdictional Bench of National Company Law Tribunal and such other statutory and regulatory approvals as may be required. We now wish to inform you that the Honble National Company Law Tribunal, Mumbai Bench, vide its order dated December 14, 2022 ('Order'), has approved the Scheme. A certified true copy of the Order was received by the Company on Monday, January 16, 2023 and the same shall be filed with the Registrar of Companies, Mumbai, by the Company and the Transferor Company, as per applicable laws.
