BSES Ltd has informed the Exchange that at its meeting held on July 28, 2003 the BOD have approved the merger of BSES Andhra Power Ltd (BAPL) with BSES Ltd pursuant to the provision of Section 391, 394 and other relevant provisions of the Companies Act, 1956 and subject to necessary approvals. If the amalgamation is approved the same shall be effective from April 1, 2003. The effect of the financial results of BAPL into the company's financial results will be given on filing of the Order of the High Courts sanctioning the amalgamation with ROC. BSES Ltd has informed the Exchange that pursuant to the orders dated December 18, 2003 passed by the Hon'ble High Court of Andhra Pradesh and High Court of Bombay, Panaji Bench respectively, BSES Andhra Power Limited and Reliance Salgaocar Power Company Limited stand amalgamated with BSES Limited.
