The above Scheme would be subject to the approval of the members, all the requisite authorities and the Hon'ble High Court of Calcutta as applicable. Emami Infrastructure Ltd has informed BSE that pursuant to the Order dated February 17, 2016 of the Hon'ble High Court at Calcutta, the Court Convened Meeting of the Company was held on March 26, 2016 at 'Emami Tower', 687 Anandapur, E.M. Bypass, Kolkata-700107, wherein the shareholders have passed the resolution approving the Scheme of Arrangement for Amalgamation of Emami Realty Limited and Emami Rainbow Niketan Private Limited with Emami infrastructure Limited with requisite majority. The amalgamation will be effective upon filing of the certified copy of the order of the High Court with the Registrar of Companies. Received and noted the certified copy of the order of Hon'ble High Court, Calcutta in the matter of amalgamation of Emami Realty Limited and Emami Rainbow Niketan Private Limited with the Company. The said Scheme will be effective upon filing of the said Order with the Registrar of Companies, West Bengal, the process whereof is being initiated. Consequent to the above, the Scheme has become effective on July 22, 2016 with effect from the appointed date, that is, April 01, 2015.
