With reference to the earlier letter dated November 01, 2014 intimating the proposed of Cellaris Refractories India Limited (CRIL) a wholly owned subsidiary with the Company, Carborundum Universal Ltd has now informed BSE that the Hon'ble High court of Madras vide its order dated September 10, 2015 has sanctioned and confirmed the merger of CRIL with the Company with effect from the appointed date April 01, 2015. The certified true copy of the order has been filed with the Registrar of Companies, Tamil Nadu, on September 28, 2015 (effective date as per the scheme). Consequent to the merger, CRIL has ceased to be a subsidiary of the Company. With reference to the earlier letter dated September 28, 2015 intimating the effective date of the scheme of Amalgamation between Cellaris Refractories India Limited (CRIL) with Carborundum Universal Limited (CUMI). In this regard Carborundum Universal Ltd has now informed BSE that the intimation letter was inadvertently dated as September 28, 2015 instead of September 29, 2015. It is hereby confirmed that the certified true copy of the order has been filed with the Registrar of Companies, Tamil Nadu, on September 29, 2015 which is the effective date of the scheme.
