Has decided to amalgamate Usha Martin Holdings Ltd (UMHL), 100% subsidiary of the Company, with itself through a Scheme of Amalgamation under Section 391 and 394 of the Companies Act, 1956. The company has informed that pursuant to the order of the Hon'ble High Court at Calcutta, the meetings of the equity shareholders of Usha Martin Holdings Ltd, being the Applicant Company no. 1 ("Transferor Company") and the Company, being the Applicant Company no. 2 ("Transferee Company") will be held on March 01, 2006, for the purpose of considering, and if thought fit, approving, with or without of modification(s) the proposed Scheme of Amalgamation of Usha Martin Holdings Ltd with the Company. (As per BSE Bulletin dated on 08/02/2006) Usha Martin Limited has informed the Exchange that the Hon'ble High Court at Calcutta has approved the Scheme of Amalgamation of Usha Martin Holding Ltd with the Company vide their order dated April 12, 2006. The certified copy of the said order was received by the Company on May 04, 2006 and the same was filed with the Registrar of Companies, West Bengal making the scheme effective.
