Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that the Board of Directors of NTPC Limited ('Company' or 'Transferee Company'), at its meeting held today i.e. 9th November 2019, has accorded approval for the amalgamation of Nabinagar Power Generating Company Limited ( 'Transferor Company 1') and Kanti Bijlee Utpadan Nigam Limited (or 'Transferor Company 2') (collectively, 'Transferor Companies'), which are wholly owned subsidiaries of the Company, with the Company under Sections 230 - 232 of the Companies Act, 2013 and other statutory provisions (including any statutory modification or re-enactment or amendment thereof) as per the terms and conditions mentioned in the Scheme of Amalgamation ('Scheme'). The Scheme is subject to necessary approvals under the provisions of the Companies Act, 2013 or other applicable laws including approvals from the Ministry of Corporate Affairs. This is in continuation to our letter dated 9th November 2019 regarding intimation for the amalgamation of Nabinagar Power Generating Company Limited (NPGC) and Kanti Bijlee Utpadan Nigam Limited (KBUNL), which are wholly owned subsidiaries of NTPC, with NTPC Limited under Sections 230 - 232 of the Companies Act, 2013 subject to necessary approvals under applicable laws. In compliance with the provisions of the Regulation 37(6) of the SEBI (Listing Obligations & Disclosure Requirements) Regulations 2015 read with SEBI Circular No. CFD/DIL3/CIR/2017 / 21 dated March 10, 2017 & CFD/DIL3/CIR/2018/2 dated 3rd January, 2018, we are enclosing herewith a copy of Scheme of Amalgamation in respect of proposed amalgamation of NPGC and KBUNL with NTPC Limited. (As Per BSE Announcement Dated 16.03.2022) We wish to inform you that the Ministry of Corporate Affairs (MCA) vide its order dated 29th July 2022 has approved the Scheme of Amalgamation of Nabinagar Power Generating Company Limited and Kanti Bijlee Utpadan Nigam Limited, wholly owned subsidiaries of NTPC Limited into NTPC Limited. (As Per BSE Announcement dated on 03.08.2022) In continuation of our earlier corporate disclosure dated 3rd August, 2022 and pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, we hereby inform that certified copy of the Order of Ministry of Corporate Affairs ('MCA Order') sanctioning the Scheme of Amalgamation between Nabinagar Power Generating Company Limited, Kanti Bijlee Utpadan Nigam Limited, wholly owned subsidiaries of NTPC Limited, and NTPC Limited from 1st April 2022, being the appointed date, has been filed electronically with the Registrar of Companies, NCT, Delhi by the Transferor Companies and the Company on 26th August, 2022. Thus, the Scheme has become effective from 26th August, 2022, being the date on which the said certified copy of the MCA Order sanctioning the Scheme has been filed with the Registrar of Companies, NCT, Delhi.
