Jaiprakash Associates Ltd has informed BSE that the Board of Directors of the Company at its meeting held on August 12, 2014, inter alia, have approved the following: - Amalgamation The Board has accepted the recommendation of the Restructuring Committee for amalgamation of Jaypee Sports International Limited (JPSI) (the wholly owned subsidiary of the Company), with the Company, which will be subject to various regulatory and other approvals and sanction of the Scheme of Amalgamation by the Hon'ble High Court /Tribunal of competent jurisdiction. Jaiprakash Associates Ltd has informed BSE that the Hon'ble High Court of Judicature at Allahabad has sanctioned the Scheme of Amalgamation of Jaypee Sports International Limited (JPSI) (Wholly-owned Subsidiary of Jaiprakash Associates Limited) with the Company in terms of it's Order dated September 14, 2015. As intimated earlier, approval of public shareholders by way of Postal Ballot/E-voting process is underway in terms of SEBI's Circular dated February 04, 2013 read with Circular dated May 21, 2013 and the result thereof shall be declared on September 28, 2015. The Company shall convene the Annual General Meeting in due course to place the Annual Accounts after giving effect to the said Scheme for which the Company has obtained the extension of time from the Registrar of Companies for holding the AGM upto December 15, 2015. The dates of Board Meeting, inter alia, to consider the Consolidated Annual Accounts for the financial year 2014-15 and of the next Annual General Meeting shall be intimated in due course. (As Per BSE Announcement Dated on 15/09/2015) Jaiprakash Associates Ltd has informed BSE that the Order and the Scheme of Amalgamation has been filed with the Registrar of Companies, Uttar Pradesh & Uttarakhand on October 15, 2015 and consequent thereto, the said Scheme of Amalgamation has become effective. Accordingly, all the businesses of Jaypee Sports International Limited along with their assets, liabilities, rights, interests, obligations etc. stand vested in Jaiprakash Associates Limited with effect from the appointed date, i.e. April 01, 2014. With reference to the earlier announcement dated October 16, 2015, Jaiprakash Associates Ltd has now informed BSE that the Order and the Scheme of Amalgamation has been filed with the Registrar of Companies, Uttar Pradesh & Uttarakhand on October 16, 2015 and consequent thereto, the said Scheme of Amalgamation has become effective. Accordingly, all the businesses of Jaypee Sports International Limited along with their assets, liabilities, rights, interests, obligations etc. stand vested in Jaiprakash Associates Limited with effect from the appointed date, i.e. April 01, 2014. (As per BSE Announcement dated on 16.10.2015) This is to inform you that the Company has since received a letter dated 12/2/2020 from Yamuna Expressway Industrial Development Authority (YEIDA) conveying its decision of having cancelled the allotment of land made by it in the year 2008 to erstwhile JPSK Sports Private Limited (later renamed as Jaypee Sports International Limited and now known as M/s. Jaypee International Sports, a division of the Company, post merger of the same with JAL in October 2015), without affording any opportunity to the Company and in arbitrary and illegal manner.
