Accordingly for this purpose, authorised the Reorganization Committee of the Board of Directors of the Company to make changes / amendments, if any required in the Scheme and finalize the same, make applications, petitions etc to Stock exchanges, High court and other regulatory authorities to obtain their No objection / consent to the same and take all steps necessary to give effect to the aforesaid amalgamation. New Delhi Television Ltd has informed BSE that the Reorganization Committee of the Board of Directors of the Company, in its Meeting held on May 10, 2010, accorded approval to the Scheme of Arrangement ('Scheme') for the merger of NDTV Studios Ltd., NDTV India Plus Ltd., NDTV Hindu Media Ltd., NDTV Business Ltd., NDTV News 24X7 Ltd., New Delhi Television Media Ltd., NDTV Delhi Ltd. and NDTV News Ltd. with the Company including reorganization of reserves. (As Per BSE Announcement Website dated on 10.05.2010) New Delhi Television Ltd has informed BSE that the meetings of Equity Shareholders, Secured Creditors and Unsecured Creditors (other than trade creditors) of New Delhi Television Ltd., the Transferee Company, have been held successfully on July 12, 2010. The resolutions seeking consent of the Equity Shareholders, Secured Creditors and Unsecured Creditors (other than trade creditors), of New Delhi Television Ltd., to the Scheme of Arrangement have been passed and the Scheme of Arrangement now has the requisite approval of the Equity Shareholders, Secured Creditors and Unsecured Creditors (other than trade creditors) of the Company. Accordingly, the Scheme of Arrangement shall be effective from December 17, 2010 ('Effective Date'). The Appointed Date for the Scheme of Arrangement is April 01, 2010. Pursuant to the Scheme of Arrangement taking effect, the Company has completed the process of merger of NDTV Studios Limited, NDTV India Plus Limited, NDTV Business Limited, New Delhi Television Media Limited, NDTV Delhi Limited, NDTV Hindu Media Limited, NDTV News 24X7 Limited, NDTV News Limited with New Delhi Television Limited w.e.f.
