This is with reference to our letter dated September 14, 2018, intimating the approval of the Board of the Company in relation to the draft Scheme of Amalgamation of the Astec LifeSciences Limited ('Astec') with the Company and their respective Shareholders ('the Scheme') under Sections 230 to 232 of the Companies Act, 2013 and other applicable provisions, if any, of the Companies Act, 2013. The Board of Directors of the Company at its Meeting held today, reviewed the proposal and decided not to pursue the scheme further at this time basis its interaction with multiple stakeholders across Astec and the Company.
