The Board of Directors of Larsen & Toubro Infotech Limited ('Company') at its meeting held on May 4, 2017, has considered and approved a Scheme of Amalgamation for merger of AugmentIQ Data Sciences Private Limited, a Wholly-owned Subsidiary of the Company, with the Company under Section 230-232 of the Companies Act, 2013 ('Scheme'). The Scheme is subject to necessary statutory and regulatory approvals including the approvals of National Company Law Tribunal, the respective Shareholders and Creditors, if any, of each of the companies involved in the Scheme. Further to our letter no. LTI/SE/STAT/2017-18/23 dated May 5, 2017, intimating the approval granted by the Board of Directors for the Scheme for Amalgamation of AugmentIQ with LTI, we wish to inform you that the abovementioned Scheme has been filed with the National Company Law Tribunal ('NCLT') under Section 230 to 232 of the Companies Act, 2013. (As Per BSE Announcement Dated on 23.06.2017) Notice of the NCLT Convened Meeting of shareholders of Larsen & Toubro Infotech Limited on August 24, 2017 (As Per BSE Announcement Dated on 21.07.2017) Further to our letters bearing reference nos. LTI/SE/STAT/2017-18/23 & LTI/SE/STAT/2017-18/49 of May 5, 2017 and June 23, 2017, respectively, we wish to inform you that the Hon'ble National Company Law Tribunal, Mumbai Bench vide its Order dated May 2, 2018, has approved the Scheme of Amalgamation between Larsen & Toubro Infotech Limited ('Transferee Company') and AugmentIQ Data Sciences Private Limited ('Transferor Company'). The Company has received the certified true copy of the Order on May 18, 2018 and the same has been filed with Registrar of Companies, Mumbai & Pune on May 21, 2018. Accordingly, the Scheme has become effective from May 21, 2018. The Appointed date for the Scheme is April 1, 2017.
