Arshiya International Ltd has informed BSE that the Board of Directors of the Company at its meeting held on March 12, 2012, has considered and approved the amalgamation of the following subsidiary companies with Arshiya International Ltd as under: - Amalgamation of Arshiya Domestic Distripark Limited (ADDL), Wholly Owned Subsidiary of Arshiya International Limited (AIL) with AIL; - Amalgamation of Arshiya FTWZ (AFTWZ), Wholly Owned Subsidiary of AIL with AIL; - Amalgamation of Arshiya Central FTWZ (ACFTWZ), step down Wholly Owned Subsidiary of AIL with AIL. Appointed date of the amalgamation will be April 01, 2012. Since the amalgamation is of direct and indirect wholly owned subsidiary companies of Arshiya International Limited, no consideration in the form of shares will be issued on amalgamation. Arshiya International Ltd has informed BSE that the Hon'ble High Court of Bombay has approved the Scheme of Amalgamation of Arshiya Domestic Distripark Limited and Arshiya FTWZ Limited (wholly owned subsidiaries of Arshiya International Limited) with Arshiya International Limited by its order dated December 07, 2012.
