Cigniti Technologies Ltd has informed BSE that the Board of Directors of the Company at its meeting held on November 10, 2016, inter alia, has for better operational control and to economize the operations among three Overseas Subsidiaries in USA viz; Cigniti Inc, Gallop Solutions Inc, and Cigniti Technologies Inc, it is proposed to merge Cigniti Inc; and Gallop Solutions Inc; (Transferor Companies) in to Cigniti Technologies Inc; (Transferee Company) through scheme of arrangement in accordance with applicable laws thereto. Cigniti Technologies Ltd has informed BSE that the Board of Directors of the Company at its meeting held on November 10, 2016, inter alia, have considered restructuring of Overseas Subsidiaries through scheme of arrangement by amalgamation of Cigniti Inc; and Gallop Solutions Inc; (Transferor Companies) in to Cigniti Technologies Inc; (Transferee Company).
