| Bharat Heavy Electricals Ltd has informed BSE that the Board of Directors of the Company at its meeting held on November 25, 2010 has accorded in-principle approvals for the following:-
1. Setting up of a new BHEL plant as 'Power Equipment Fabrication Plant' at Latur, Maharashtra.
2. Forwarding the proposal for initiating the process of merger of Bharat Heavy Plate & Vessels Ltd. (a wholly owned subsidiary of BHEL) with BHEL, to Department of Heavy Industry (DHI). The merger shall be subject to obtaining necessary approvals from appropriate authorities.
Bharat Heavy Electricals Ltd has informed BSE that the Board of Directors of the Company at its meeting held on May 23, 2013, have decided that an Extraordinary General Meeting of the Company be convened on June 27, 2013 to seek approval of the shareholders for the Modified Draft Rehabilitation Scheme incorporating Amalgamation between Bharat Heavy Plate & Vessels Limited, the wholly owned subsidiary of Bharat Heavy Electricals Limited ('BHEL') and BHEL.

Bharat Heavy Electricals Ltd has informed BSE that the Board for Industrial and Financial Reconstruction (BIFR) vide order dated August 29, 2013 sanctioned the Modified Draft Rehabilitation Scheme envisaging merger of Bharat Heavy Plate and Vessels Limited (BHPV) with Bharat Heavy Electricals Limited (BHEL).

Bharat Heavy Electricals Ltd has informed BSE that Board for Industrial & Financial Reconstruction (BIFR) had sanctioned the Modified Scheme envisaging merger of Bharat Heavy Plate & Vessels Ltd (BHPV) with BHEL vide their order dated August 29, 2013 which was filed with respective Registrar of Companies (RoC) at Hyderabad and at Delhi on August 30, 2013 on which date the merger became effective. Now, on August 02, 2014, BHEL has received certified copy of order of Appellate Authority for Industrial & Financial Reconstruction (AAIFR) on appeals of BHPV Officers' Association, BHPV U/V Series (Ex-Trainee) and BHPV Retired & VR Employees Welfare Society setting aside the BIFR order and remanding the matter back to BIFR with certain directions. BHEL is in the process of examining the AAIFR order for most appropriate action in the matter.
