Genesys International Corporation Ltd has informed BSE that the Board of Directors of the Company at its meeting held on August 20, 2010, inter-alia, has considered and approved the Scheme of Amalgamation of Genesys Worldeye Ltd. (GWL) (100% Wholly Owned Subsidiary Company) with the Company pursuant to Sections 391 to 394 of the Companies Act, 1956 subject to various approvals of the Shareholders and Creditors of the respective companies, the High Court of Judicature at Bombay, Stock Exchanges and other concerned authorities. The Appointed Date of Amalgamation is proposed to be April 01, 2010. Pursuant to Amalgamation, all equity shares held by the Company in GWL will be cancelled & extinguished.
