The Board of Directors of the Company in its meeting held today has approved the Scheme of Amalgamation ('Scheme') for merger of Virtual World Spatial Technologies Private Limited (VWSTPL) (''Transferor Company'') with Genesys International Corporation Limited (GICL) (''Transferee Company''), pursuant to Section 230 to 232 of the Companies Act, 2013. VWSTPL is a wholly-owned subsidiary of the Company. The Scheme is subject to necessary statutory and regulatory approvals including the approvals of National Company Law Tribunal. The Scheme will be filed with the Stock Exchange as per applicable provisions of Regulation 37 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
