This is to inform you that the Board of Directors, at its meeting held today, subject to obtaining the requisite approvals of the shareholders and creditors of the Company, the jurisdictional National Company Law Tribunal ('NCLT'), and other approvals (regulatory or otherwise) as may be required, approved, a Composite Scheme of Arrangement between the Company, Fortis Hospitals Limited ('FHSL'), Fortis La Femme Limited ('La Femme'), Manipal Health Enterprises Private Limited ('MHEPL') and their respective shareholders and creditors under Sections 230-232 of the Companies Act, 2013 ('Act') and read with Sections 52 and 66 of the Act ('Scheme').
This is in continuation to our letter Ref. No. FHL/SEC/STEX/RR/2018-19 dated April 10, 2018
whereby, it was informed that the Board of Directors of Fortis Healthcare Limited ('the Company') has received an unsolicited binding offer, revising the earlier construct of the scheme and/or transaction, from Manipal Health Enterprises Private Limited ('MHEPL'), subject to certain conditions as mentioned in the offer letter.
It is hereby informed that the Company today i.e. April 24, 2018, has received a New Revised Proposals, as attached herewith, from MHEPL.
We will keep the stock exchanges updated/informed in terms of Regulation 30 of the SEBI
(Listing Obligations and Disclosure Requirements) Regulations, 2015.

This is in continuation to our letter ref. no. FHL/SEC/STEX/RR/2018-19 dated April 5, 2018, whereby it was informed that Daiichi had filed an application, wherein it had inter-alia prayed for 'maintaining status quo of the assets of the Company and such other related matters', thereby seeking injunction on the scheme of arrangement for demerger of the hospital business of the Company into Manipal Health Enterprises Private Limited ('Manipal').
Further, it is hereby informed that the application was again heard on April 25, 2018, where no orders were passed against the Company. Further, we would like to inform you that the copy of the said order was only made available to us today, i.e. May 4, 2018. However, in compliance of the order dated April 5, 2018, the Company had already on April 23, 2018 filed its short affidavit in reply to the said application filed by Daiichi.
