(500040) RECORD DATE 14/10/2019 PURPOSE As per Scheme of Arrangement sanctioned by the Hon'ble National Company Law Tribunal, Mumbai Bench (NCLT), between, Century Textiles & Industries Ltd. (Transferor Company) and UltraTech Cement Limited and Their Respective Shareholders And Creditors: - Upon the coming into effect of the aforesaid Scheme and in consideration of the transfer of the Cement Business of Century Textiles & Industries Ltd. into UltraTech Cement Limited pursuant to this Scheme UltraTech Cement Limited shall issue and allot Equity Shares to the shareholders of Century Textiles & Industries Ltd. in the following proportion: '1 fully paid up equity share of Rs.10/- each fully paid up of UltraTech Cement Limited shall be issued and allotted for every 8 (Eight) fully paid up equity share of Rs. 10/- each fully paid up held in Century Textiles & Industries Ltd.' On allotment, the equity share capital of the Company stands increased to 28,86,13,666 equity shares of Rs. 10/- each aggregating to Rs. 2,88,61,36,660/-.
