KEC International Ltd has informed BSE that the Board of Directors of the Company at its meeting held on February 04, 2015, inter alia, have approved the following: Scheme of amalgamation of Jay Railway Projects Private Limited, a wholly owned subsidiary of the Company with Company. KEC International Ltd has informed BSE that the High Court of Judicature at Bombay passed the order approving the Scheme of Amalgamation ('the Scheme') of Jay Railway Projects Private Limited, a wholly-owned subsidiary of the Company with the Company on December 11, 2015. Further, the Scheme is effective from the date of filing the certified copy of the court order with the Registrar of Companies. In this connection, please note that the court order was filed with the Registrar of Companies on December 30, 2015. Accordingly, Jay Railway Projects Private Limited has amalgamated with the Company w.e.f. December 30, 2015. (As per BSE Announcement dated on 31.12.2015)
