Mastek Ltd has informed BSE that The Board of Directors of the Company, through resolution passed by circular resolution on May 31, 2011, considered and approved the Scheme of Amalgamation of Keystone Solutions Pvt Ltd ('the Transferor Company' or 'Keystone') with Mastek Ltd ('the Transferee Company' or 'the Company' or 'Mastek') and their respective shareholders and creditors ('the Scheme'). The Appointed Date of the Scheme of Amalgamation is July 01, 2011. The entire Equity Share Capital of the Transferor Company is held by the wholly owned subsidiaries of the Transferee Company. Therefore, upon the Scheme becoming effective, there will be no issue and allotment of shares pursuant to the Scheme. The Scheme of Amalgamation is, inter-alia, subject to the necessary approvals under the Companies Act, 1956 including the High Court of Judicature, or any other competent authority. Mastek Ltd has informed BSE that Hon'ble High Court of Judicature at Bombay on December 02, 2011 has approved the Scheme of Amalgamation of Keystone Solutions Private Limited with Mastek Limited and their respective shareholders and creditors. (As PEr BSE Announcement Website dated on 02.12.2011) Mastek Ltd has informed BSE that Hon'ble High Court of Judicature at Bombay has approved the Scheme of Amalgamation of Keystone Solutions Private Limited with Mastek Limited and their respective shareholders and creditors vide order dated December 02, 2011, a certified copy of which was made available on December 16, 2011. Further the Company has informed that certified copy of the order of the Hon'ble High Court of Judicature at Bombay sanctioning the Scheme from July 01, 2011 being the Appointed Date, has been filed electronically with the Registrar of Companies, Gujarat, Ahmedabad on December 23, 2011. Thus, the Scheme has become effective from December 23, 2011, being the date on which the said certified copy of the order sanctioning the Scheme passed by the High Court has been filed with the Registrar of Companies, Gujarat, Ahmedabad. Accordingly, Keystone Solutions Private Limited has been amalgamated with Mastek Limited and stands dissolved without being wound up. (As Per BSE Announcement Dated on 23.12.2011)
