Sub: Amalgamation of Trishan Metals Private Limited with IFB Industries Limited In terms of the Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Board of Directors of the Company at the meeting held on 30th December, 2020, approved Amalgamation of Trishan Metals Private Limited, Wholly Owned Subsidiary with IFB Industries Limited. The Schme of Amalgamation, which are subject to approvals as necessary, will take effect from 1st April, 2021. The brief details of the aforesaid scheme of Amalgamation, as required under the Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, read with the SEBI Circular dated 9th September, 2015, is given in the annexure and marked as Annexure 'A'. This is for your information and record. We write in continuation of our letter dated 30 December 2020 on the subject. We would like to further inform that the Company has filed on 6th February, 2021, the Scheme of Amalgamation of Trishan Metals Private Limited, Wholly Owned Subsidiary with the Company, with National Company Law Tribunal, Kolkata Bench under Sections 230 to 232 of the Companies Act, 2013 and other applicable provisions of the Companies Act and rules framed thereunder.
