Please find attached the outcome of the Board meeting held today i.e., 04th December, 2024 at the registered office of the Company, in accordance with the provisions of Regulation 30 of the Securities Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015. The Board of Directors discussed that the Merger of GB Global Limited & Dev Land & Housing Private Limited and their respective shareholders which was approved by the Board in the Board Meeting held earlier on 04th December, 2024 hereby stands cancelled. The Management of the Company shall discuss and approve the terms of Merger once again and shall inform the Stock Exchanges accordingly. Therefore, the previous Board Resolution is hereby withdrawn and the information sought by stock exchanges will be provided once a fresh scheme of merger is approved by the Board.
