Menon Bearings Ltd has informed BSE that the Board of Directors of the Company at its meeting held on December 13, 2008, inter alia, has considered and approved the Scheme of Amalgamation pursuant to Section 391 to 394 of the Companies Act 1956 of Menon Alkop Pvt. Ltd and M B Autocomponents Pvt. Ltd, (wholly owned subsidiary Companies of the Company) with the Company with effect from appointed date i.e. October 01, 2008, subject to approval of Hon'ble High Court, Bombay and various other authorities, as may be required. Menon Bearings Ltd has informed BSE that the Hon'ble High Court of judicature at Bombay on May 02, 2009 has approved the Scheme of Amalgamation under Section 391 to 394 of the Companies Act, 1956 of Menon Alkop Pvt. Ltd and M B Autocomponents Pvt. Ltd (both wholly owned subsidiary Companies of the Company) with the Menon Bearings Ltd with effect from appointed date i.e. October 01, 2008.
