Motherson Sumi Systems Ltd has informed BSE that the Board of Directors of the Company at its meeting held on July 26, 2010, have approved a draft Scheme for the merger of its wholly owned subsidiary Companies namely, Balda Motherson Solution India Ltd. (BMSIL) and Motherson Tradings Ltd. (MTL) with the Company. Motherson Sumi Systems Ltd has informed BSE that, the Company had filed an application being Company Application (M) 176 of 2010 u/s 391-394 of the Companies Act, 1956 along with Scheme of Arrangement for merger of its wholly owned subsidiary companies namely, Balda Motherson Solution India Limited (BMSIL) and Motherson Tradings Limited (MTL) with the Honorable High Court of Delhi on September 13, 2010. The Honorable High Court of Delhi vide its Order dated November 19, 2010 has disposed of the Application and dispensed with the meetings of shareholder, secured and unsecured creditors of the Company. (As Per BSE Announcement Dated on 26.11.2010) Motherson Sumi Systems Ltd has informed BSE that the Company had filed an application u/s 391-394 of the Companies Act, 1956 along with Scheme of Arrangement for merger of its wholly owned subsidiary Companies namely, Balda Motherson Solution India Ltd (BMSIL) and Motherson Tradings Ltd (MTL) with the Honorable High Court of Delhi on September 13, 2010. Further the Company has informed that, the Honorable High Court of Delhi has passed an Order on March 21, 2011 for merger of Balda Motherson Solution India Ltd. and Motherson Tradings Ltd with Motherson Sumi Systems Ltd.
