The Board of Directors of the Company, at its meeting held today i.e. November l2, 2019, which commenced at 1:00 p.m. and concluded at 02:30 p.m. has considered and approved the Scheme of Amalgamation of wholly owned subsidiary, Varroc Lighting Systems (India) Private Limited ('VLSIPL or Transferor Company'), with Varroc Engineering Limited ('VEL or Transferee Company'). Referring to our letter dated November 12, 2019, submitted under Regulation 30 of the SEBI Listing Regulations, 2015, intimating that the Board of Directors of the Company at its Meeting held on 12th November, 2019, has approved the Scheme of Amalgamation of Varroc Lighting Systems (India) Private ('VLSIPL') with Varroc Engineering Limited ('the Company or VEL') and their respective shareholders (''Scheme'') under section 230 to 232 and other applicable provisions of the Companies Act, 2013. VLSIPL, being the wholly owned subsidiary of VEL, in terms of Regulation 37(6) of the SEBI Listing Regulations, 2015, the provisions of the said Regulation 37 are not applicable to drafts schemes which solely provide for merger of a wholly owned subsidiary with its holding company. Hence, ''No Objection Letter'' or ''Observation Letter'' on the Scheme is not required to be obtained from the Stock Exchanges on which the equity shares of the Company are listed. (As Per BSE Announcement Dated 13.11.2019) We wish to inform you that Hon'ble National Company Law Tribunal Special Bench, Mumbai by an Order dated July 20, 2020 (copy enclosed), has admitted CP (CAA) 948/MB-II/2020 connected with CA (CAA) 3753/MB-II/2019, seeking approval in the matter of Scheme of Amalgamation of Varroc Lighting Systems (India) Private Limited, a Wholly-owned subsidiary of the Company ('the Transferor Company') with Varroc Engineering Limited ('the Transferee Company') and their respective shareholders and the Petition has been fixed for hearing on Friday, August 14, 2020. (As Per BSE Announcement Dated 25.07.2020) This is to inform that the Hon'ble National Company Law Tribunal, Mumbai Bench (''NCLT''), has vide its Order dated November 2, 2020, approved the Scheme of Amalgamation of Varroc Lighting Systems (India) Private Limited with Varroc Engineering Limited and their respective Shareholders. A certified copy of the Order of the NCLT is attached herewith and same is also uploaded on the Company's website i.e. www.varroc.com.
