Zee Entertainment Enterprises Ltd has informed BSE that the Board of Directors of the Company at its meeting held on January 14, 2011, inter alia, approved a Scheme of Amalgamation for merger of two (2) wholly owned overseas subsidiaries of the Company viz. ZES Holdings Ltd. Mauritius and Zee Multimedia Worldwide Ltd, BVI with the Company, at nil consideration, with the Appointed Date as February 01, 2011. The aforesaid Scheme of Amalgamation shall be subject to requisite statutory / regulatory approvals at respective jurisdictions, including approval Hon'ble High Court of Bombay. Zee Entertainment Enterprises Ltd has informed BSE that at the final hearing held on June 10, 2011, the Hon'ble High Court of Bombay has approved the Scheme of Amalgamation for amalgamation of ZES Holdings Ltd, Mauritius and Zee Multimedia Worldwide Ltd, BVI (two wholly owned overseas subsidiaries of the Company) with the Company with effect from the Appointed Date i.e. February 01, 2011. (As Per BSE Announcement Website dated on 10.06.2011) With reference to the earlier announcement dated on June 10, 2011 intimating that the Hon'ble Bombay High Court has vide its Order passed on June 10, 2011 approved the Scheme of Amalgamation for amalgamation of ZES Holdings Ltd, Mauritius and Zee Multimedia Worldwide Ltd, BVI (two wholly owned overseas subsidiaries of the Company) with the Company with effect from the Appointed Date i.e. February 01, 2011, Zee Entertainment Enterprises Ltd has now informed BSE that the aforesaid Scheme of Amalgamation has become effective on June 20, 2011, upon filing of the said order of Hon'ble Bombay High Court with the Registrar of Companies, Maharashtra, Mumbai and other compliances in overseas jurisdictions.
