Based on the recommendation of the Audit Committee at its meeting held today (i.e.) 5th November 2025, the Board of Directors of the Company ('Board') at its meeting held today, inter-alia, considered and approved the draft Scheme of Amalgamation of Ramco Windfarms Limited, a wholly owned subsidiary company ('Transferor Company') with its holding company. The Ramco Cements Limited ('Transferee Company'). Honorable NCLT, Chennai Bench vide its order dated 27.05.2026, had allowed the first motion application filed by Ramco Windfarms Limited (RWF) and directed RWF to file the second motion application within 14 days from the date of receipt of order.
