Avanti Feeds Ltd has informed BSE that a meeting of the Board of Directors of the Company was held on September 24, 2011, to discuss the following: 1. Report of the Re-structuring committee appointed to explore the feasibility of consolidation / amalgamation of Avanti Thai Aqua Feeds Private Limited with the Company; 2. Draft Scheme of Amalgamation of Avanti Thai Aqua Feeds Private Limited with the Company ('the Scheme'); and 3. Share issuance report of M/s SSPA & Co., Chartered Accountants in connection with the aforesaid amalgamation. The Board of Directors, after deliberations and discussions, has approved the Scheme of Amalgamation of Avanti Thai Aqua Feeds Private Limited with the Company, subject to the provisions of Sections 391 to 394 of the Companies Act, 1956, and the share issuance report of M/s SSPA & Co., Chartered Accountants. The Scheme of Amalgamation is subject to such approvals as may be required including that of the Stock Exchanges, Hon'ble High Court of Judicature of Andhra Pradesh at Hyderabad, the Shareholders and Creditors of the respective companies and other concerned authorities. Avanti Feeds Ltd has informed BSE that the amalgamation scheme for amalgamating M/s. Avanti Thai Aqua Feeds Private Limited with the Company was approved by Hon'ble High Court of Andhra Pradesh and subsequently the same was taken on record by Registrar of Companies, Andhra Pradesh. As per the Scheme, the share holders of Avanti Thai Auqa Feeds Private Limited (ATAF),(Transferor Company) are entitled for 20 equity shares in the Company for every 71 shares held by them in ATAF. Accordingly, Thai Union Frozen Products PCL, Thailand is to be issued 10,83,042 equity shares of Rs. 10/- each of the Company against their holding of 38,44,800 equity shares of Rs. 10 each in ATAF. Board of Directors in their meeting held on July 14, 2012 have approved the allotment of 10,83,042 equity shares of Rs. 10/- each to Thai Union Frozen Products PCL, Thailand.
