Parenteral Drugs India Ltd has informed BSE that the Board of Directors of the Company at its meeting held on July 31, 2008, inter alia, has taken the following decision:
Merger of PFL Holdings Pvt Ltd and GFL Holdings (India) Pvt Ltd in to the Company:
The Board has approved the proposal of the Company to amalgamate M/s. PFL Holdings Pvt Ltd and M/s. GFL Holdings (India) Pvt Ltd, into the Company, as a result of this amalgamation, their respective subsidiaries i.e. M/s. Punjab Formulations Ltd and M/s. Goa Formulations Ltd shall become the wholly owned subsidiaries of the Company.
As a result of the implementation of the scheme, the entire manufacturing capacity of the large volume parenteral in the group shall come under one umbrella, which shall not only enhance the share of the Company in the large volume parenteral sector but also ultimately increase the shareholder's net worth.
Parenteral Drugs India Ltd has informed BSE that the Board of Directors of the Company at its meeting held on October 31, 2008 has accorded in-principal approval to the draft scheme of amalgamation of M/s. Goa Holdings (India) Pvt. Ltd and M/s. PFL Holdings Pvt. Ltd with M/s. Parenteral Drugs (India) Ltd.

Parenteral Drugs India Ltd has submitted to BSE copy of the notice of the meeting advertised in the Press by the Company under Section 391 to section 394 of the Companies Act, 1956 for the meeting to be held of the equity shareholders of the Company in order to obtain their approval for the Scheme of Amalgamation of M/s PFL Holdings Pvt Ltd and M/s Goa Holdings (India) Pvt Ltd with the Company as per the orders of the Court.

Parenteral Drugs India Ltd has informed BSE that as per the directions of the Hon'ble High Court of Bombay dated April 23, 2009, a meeting of the Equity Shareholders of the Company was convened on June 15, 2009, for the purpose of securing the approval of the equity shareholders of the Company to the arrangement embodied in the Scheme of Amalgamation of PFL Holdings Pvt. Ltd and Goa Holdings (India) Pvt. Ltd (the Transferor Companies), with Parenteral Drugs (India) Ltd, (the Transferee Company), when the equity shareholders of the Company have approved the said scheme of amalgamation with requisite majority, about which the Hon'ble High Court has been separately informed by the Chairman appointed for the meeting by way of an affidavit.

Parenteral Drugs India Ltd has informed BSE that the Hon'ble High Court of Judicature at Bombay has sanctioned the Scheme of amalgamation of M/s. PFL Holdings Pvt. Ltd. and M/s. Goa Holdings (India) Pvt. Ltd. ('the transferor Companies') with M/s. Parenteral Drugs (India) Ltd. ('the transferee Company').
The High Court Orders shall be filed with the Office of the Registrar of Companies, Mumbai as soon as the certified copies of the orders are issued by the Hon'ble High Court.
