Thermax Ltd has informed BSE that the Board of Directors has approved, vide circular resolution passed by majority on July 10, 2006, a Scheme of Amalgamation of following wholly-owned subsidiaries with the Company: 1. Thermax Co-gen Ltd 2. Thermax Electronics Ltd 3. Winman Gas Ltd Thermax Ltd has informed BSE that the date of hearing of the petition filed for scheme of amalgamation by the transferor companies (i.e. Thermax Co-gen Ltd, Thermax Electronics Ltd & Winman Gas Ltd (Wholly owned subsidiaries)) with the Hon'ble High Court of Judicature at Bombay has been fixed on November 10, 2006. (As per BSE Announcement website dated on 04/10/2006) Thermax Ltd has informed BSE that the Hn'ble High Court of Judicature at Bombay has passed Orders on January 12, 2007, aproving the Scheme of amalgamation of Thermax Co-en Ltd (TCGL), Thermax Electronics Ltd (TEL) & Winman Gas Ltd (WGL), with the Company. Pursuant to the Orders issued on January 31, 2007, TCGL, TEL and WGL the wholly-owned subsidiaries stood amalgamated with the Company in accordance with the Scheme of Amalgamation with effect the Appointed Date i.e. from April 01, 2006. The Company has filed aforesaid Orders with the Registrar of Companies Pune / Mumbai on February 09, 2007. Accordingly, the amalgamation Orders have come into effect from February 09, 2007.
