Shilpa Medicare Ltd has informed BSE that the Board of Directors of the Company at its meeting held on August 11, 2011, have subject to necessary approvals, decided to merge M/s. Raichem Life Sciences Private Limited, a 100% subsidiary of Shilpa Medicare Ltd., with the Company to have cost synergies and other operational benefits. Shilpa Medicare Ltd has informed BSE that the Hon'ble High Court of Andhra Pradesh has approved the scheme of amalgamation of Raichem Life Sciences Private Limited with Company with effect from April 01, 2011 (Appointed Date). A copy of Certified Copy of Order of Hon'ble High Court, which has been submitted to the Registrar of Companies. Further, the Board of Directors has taken the said order on record on September 27, 2012 and passed a resolution to merge the accounts of Raichem Life Sciences Private Limited w.e.f. April 01, 2011 (being Appointed Date) and file necessary returns, applications, forms and other documents with the respective authorities and to do all the needful to give effect to the said merger.
