TIL Ltd has informed BSE that the Shareholders at its meeting held on April 12, 2010, in terms of the Order dated March 15, 2010 of the Hon'ble High Court at Calcutta and notice dated March 19, 2010, have passed the following resolution : 'RESOLVED that the Scheme of Arrangement between TIL Ltd and its Equity Shareholders being Annexure 'A' in the Company Application No. 146 of 2010 in the High Court at Calcutta, a copy whereof is enclosed with the Notice dated March 19, 2010 convening this meeting and a copy whereof is placed before this meeting and initialed by the Chairperson for the purpose of identification, be and is hereby approved without any modification'. TIL Ltd has informed BSE that the Scheme of Arrangement between TIL Ltd. and its wholly owned subsidiary M/s. Tractors India Pvt. Ltd, in respect to transfer of Caterpillar business has been approved by the Hon'ble Calcutta High Court vide its order dated July 12, 2010. The Scheme is effective from April 01, 2010.
